Effective Date: August 22, 2025.
Operator: Sanji Software Inc., a corporation registered and based in Alberta, Canada (“Sanji Software Inc.,” “Sanji,” “we,” “us,” or “our”).
These Terms of Use (“Terms”) govern your access to and use of the Sanji Telegram bots, Sanji Web Terminal, and related services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
Everything inside of this legal document applies to ANY, and ALL products that Sanji Software Inc. currently offers, and offers in the future.
1. Access Through Telegram
The Services are offered exclusively through Telegram, a third-party platform owned by Telegram Messenger Inc.
Sanji Software Inc. is not responsible for Telegram’s availability, performance, security, or functionality.
You are also subject to Telegram’s own terms of use.
If Telegram becomes unavailable or restricts your access, Sanji Software Inc. bears no liability.
2. Restricted Jurisdictions and Persons
The Services are not offered to residents, citizens, or entities in:
The United States, Panama, or any jurisdiction under sanctions.
Any jurisdiction that prohibits or restricts cryptocurrency activity.
Use of VPNs, proxies, or other tools to bypass these restrictions is strictly prohibited.
Assets may be forfeited, and information may be reported to authorities if you violate this section.
By using the Services, you represent and warrant you are not a restricted person and are not accessing from a restricted jurisdiction.
3. Third-Party Technologies
Transactions occur on decentralized exchanges, aggregators, smart contracts, and protocols operated by third parties.
Sanji Software Inc. does not operate or control these technologies and disclaims all liability for their uptime, security, accuracy, or performance.
Your use of third-party technologies is at your own risk and subject to their terms of service.
Sanji Software Inc. does not endorse or guarantee the safety, legitimacy, or accuracy of any third-party protocols, content, or assets.
4. Wallets and Security
You are solely responsible for securing your wallet, seed phrase, private keys, API keys, and credentials.
Sanji Software Inc. does not custody or secure your wallet.
If you lose or compromise your wallet/keys, you bear all resulting losses.
Sanji Software Inc. may integrate third-party wallet providers but is not responsible for their systems or practices.
If encrypted keys or credentials are stored on third-party servers, you accept all associated risks, including potential compromise or theft.
5. Services and Trading
Sanji Software Inc. is not a broker, dealer, exchange, bank, or money transmitter.
Sanji Software Inc. does not custody funds, submit trades on your behalf, or provide liquidity.
Sanji Software Inc. makes no guarantee of price accuracy, swap rates, uptime, or outcomes of transactions.
All trades and transactions are your sole responsibility.
Automated or pre-selected trades (such as limit orders) are executed at your risk.
6. Fees
Sanji Software Inc. may charge transaction or service fees, which may change without notice.
Fee estimates are not guaranteed and may differ from actual fees.
You are solely responsible for all fees, including third-party exchange or network fees.
Sanji Software Inc. disclaims all liability related to fees or pricing changes.
7. Taxes
You are solely responsible for determining, reporting, and paying all taxes related to your use of the Services.
Sanji Software Inc. does not report, collect, or remit taxes on your behalf.
You release Sanji Software Inc. from all liability related to taxes.
8. Referrals
Referral programs, if offered, may be changed or terminated at any time.
Referral rewards are not guaranteed.
Sanji Software Inc. is not liable for referral tracking errors, Telegram malfunctions, or reward disputes.
All disputes are resolved solely at Sanji Software Inc.’s discretion.
9. Intellectual Property
All content, software, and materials associated with the Services are owned by Sanji Software Inc. or its licensors.
You may not copy, reverse engineer, or redistribute the Services.
Feedback you provide becomes the property of Sanji Software Inc. without obligation or compensation.
10. Prohibited Uses
You agree not to use the Services for:
Illegal activity, money laundering, or terrorist financing.
Market manipulation (pump-and-dumps, wash trading, spoofing, etc.).
Malware, hacks, probes, DDOS, or bypassing security measures.
Unauthorized scraping, crawling, or data collection.
Training AI models on Sanji Software Inc.’s data.
Abusive, fraudulent, or harmful conduct.
Access from restricted jurisdictions or on behalf of restricted persons.
11. No Advice
Sanji Software Inc. does not provide investment, financial, tax, or legal advice.
You are solely responsible for your decisions and trading activities.
Sanji Software Inc. does not act as your advisor, fiduciary, or agent.
12. Risks
Digital assets are volatile, speculative, and may lose all value.
You accept the risks of bugs, exploits, hacks, malicious actors, and outages.
Sanji Software Inc. does not guarantee the accuracy, availability, or legitimacy of assets or data.
You bear all risks of loss, theft, or compromise of your digital assets.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Alberta, Canada.
Disputes will be resolved by binding arbitration in Alberta, in English.
Class actions are prohibited; only individual claims are permitted.
Jury trial rights are waived where applicable.
Injunctions or equitable relief against Sanji Software Inc. are waived.
All disputes must be filed within six (6) months of arising, or they are permanently barred.
14. Termination
Sanji Software Inc. may suspend or terminate access at any time, with or without notice, for any reason.
Sanji Software Inc. bears no liability for termination or suspension of services.
15. Liability and Warranties
The Services are provided “as is” and “as available” without warranties of any kind.
Sanji Software Inc. disclaims all express and implied warranties, including merchantability, fitness for purpose, and non-infringement.
Sanji Software Inc. disclaims liability for direct, indirect, incidental, consequential, or punitive damages.
Sanji Software Inc. is not liable for hacks, theft, outages, force majeure, or third-party failures.
Even if you win a claim, the maximum payout is $200 USD.
Damages will never be paid in cryptocurrency.
16. Miscellaneous
Sanji Software Inc. may revise these Terms at any time by posting updates. Continued use of the Services means you accept changes.
If any provision is found unenforceable, the rest remain in full effect.
Failure to enforce any right is not a waiver of that right.
These Terms constitute the entire agreement between you and Sanji Software Inc. regarding the Services.
Acceptance
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
